Terms of Service

1. Acceptance of Terms

By accessing or using the Shift Management application ("Service") provided by Sciometa ("Company", "we", "us", or "our"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Sciometa.

2. Description of Service

The Shift Management application is a workforce management platform that provides:

  • Employee shift scheduling and management
  • Time and attendance tracking (clock-in/clock-out)
  • Location-based verification (geofencing)
  • PTO and leave management
  • Team communication features
  • Push notifications for schedule updates, reminders, and team communication
  • Reporting and analytics

The Service is provided on an "as available" basis and may be modified, updated, or discontinued at any time without prior notice.

3. Eligibility

You must be at least 16 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. User Accounts

4.1 Registration

To use the Service, you must register for an account through an invitation from your organization or by creating an organization account. You may register using your email address and password, or through third-party authentication providers such as Google or Apple ("Sign in with Google" / "Sign in with Apple"). You agree to provide accurate, current, and complete information during registration.

4.2 Third-Party Authentication

If you choose to sign in using a third-party authentication provider (Google or Apple), you authorize us to access certain account information from that provider, such as your name and email address. When using Sign in with Apple, you may choose to hide your email address; however, certain features (such as organization invitations) may require your real email address to function correctly. Your use of third-party authentication is also subject to the respective provider's terms of service and privacy policy. We are not responsible for the practices of these third-party providers.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Sciometa, or third parties.

5. User Responsibilities

When using the Service, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Provide accurate information when clocking in/out and recording time
  • Not attempt to circumvent location verification or security features
  • Not share your account credentials with others
  • Respect the privacy and rights of other users
  • Not upload malicious content or attempt to compromise the Service
  • Not reverse engineer, decompile, or disassemble any part of the Service
  • Not use automated scripts or bots to access the Service without prior written consent

6. Organization Administrator Responsibilities

If you are an organization administrator, you additionally agree to:

  • Ensure your organization's use of the Service complies with applicable laws and regulations
  • Obtain necessary consents from employees for data collection, including location data
  • Manage user access appropriately within your organization
  • Be responsible for the actions of users within your organization
  • Maintain accurate employee records within the Service

7. Intellectual Property

The Service, including but not limited to its design, features, code, documentation, logos, trademarks, and all related intellectual property, is owned by Sciometa and is protected by international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Push Notifications

The Service may send push notifications to your mobile device to inform you about schedule changes, shift reminders, time-off request updates, team messages, and other work-related information. By using the mobile application and granting notification permissions, you consent to receiving these notifications.

You may control the types of notifications you receive through the notification settings within the app, or disable push notifications entirely through your device's system settings. Disabling notifications may affect your ability to receive timely updates about schedule changes and other important information.

Push notifications are delivered through Firebase Cloud Messaging (Google) and Apple Push Notification service. Your device token is stored on our servers while your account is active and is removed when you sign out.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood the Privacy Policy and consent to the collection and use of your information as described therein.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SCIOMETA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such jurisdictions, Sciometa's warranties are limited to the maximum extent permitted by applicable law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCIOMETA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SCIOMETA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SCIOMETA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID SCIOMETA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

The limitations in this section apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sciometa, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; (d) your User Content; or (e) any inaccurate time or attendance records submitted through the Service.

13. Force Majeure

Sciometa shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, power failures, internet or telecommunications failures, cyberattacks, or third-party service provider outages.

14. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes by updating the "Last updated" date at the top of this page and, when practicable, by providing notice through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the Tokyo District Court, Japan. Notwithstanding the foregoing, Sciometa may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

If you are a consumer residing in the European Union, you may also be entitled to submit a complaint through the European Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sciometa regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.

18. Waiver

The failure of Sciometa to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Sciometa.
